A
Auto-Renewal Clause
A contract provision that automatically extends the agreement for another term (often 1 year) unless one party provides notice of cancellation within a specified window. Also called an 'evergreen clause.'
Annual Contract Value (ACV)
The total yearly revenue from a contract, used to understand the financial impact of renewals. A $500/month SaaS subscription has an ACV of $6,000.

The process of managing contracts from creation through execution, performance tracking, and renewal or termination. Enterprise CLM software often includes features like e-signatures, redlining, and compliance tracking.
Cancellation Window
The specific timeframe during which you can provide notice to cancel a contract without automatic renewal. Missing this window typically locks you into another full term.

Evergreen Contract
A contract that automatically renews at the end of each term until one party gives notice to terminate. Common in SaaS subscriptions, office leases, and service agreements.
Early Termination Fee
A penalty charged when ending a contract before its scheduled end date. Often calculated as a percentage of remaining contract value or a fixed number of months' fees.

Master Service Agreement (MSA)
A contract that establishes the general terms governing all future transactions or agreements between parties. Individual projects are then covered by Statements of Work (SOWs) under the MSA.

Notice Period
The required advance warning time before canceling or not renewing a contract. For example, a '60-day notice period' means you must notify the vendor at least 60 days before the renewal date to avoid automatic renewal.

Price Escalation Clause
A contract provision allowing the vendor to increase prices upon renewal, often tied to inflation indexes or a fixed percentage. Understanding these helps budget for renewals.

Renewal Date
The date when a contract term ends and either renews automatically or requires action. This is different from the notice deadline, which occurs before the renewal date.
Renewal Exposure

Service Level Agreement (SLA)
A commitment between a service provider and client that defines expected service standards, including metrics like uptime guarantees, response times, and remedies for failures.
Statement of Work (SOW)
A document that defines project-specific deliverables, timelines, and costs under a Master Service Agreement. SOWs are often used for consulting, development, or creative projects.

Term Length
The duration of a contract period, typically expressed in months or years. Common term lengths are monthly, annual, or multi-year (2-3 years for better pricing).

Vendor Lock-in
A situation where switching to a different vendor becomes difficult or expensive due to technical dependencies, data migration challenges, or long contract terms with steep early termination fees.
